Welcome to the website and services of Kacci Lab Inc. (“Kacci Lab”, “we”, “us”, or “our”). By accessing our website, requesting a quote, or using our design, development, or consulting services (collectively, the “Services”), you agree to the following Terms & Conditions (“Terms”).

1. Scope

These Terms govern your use of kaccilab.com and all related software, design, and consulting services provided by Kacci Lab Inc.

2. Services

We provide custom software development, web design, cloud architecture, data analytics, and digital art services.
Specific deliverables, timelines, and pricing will be outlined in a written proposal or contract for each project.

3. Ownership & Intellectual Property

All materials, code, designs, and documentation produced by Kacci Lab remain our property until payment is received in full.
Upon full payment, intellectual property rights transfer to the client as defined in the project agreement.
Pre-existing tools, frameworks, and proprietary libraries developed by Kacci Lab remain our property and may be reused in future projects.

4. Client Responsibilities

Provide accurate and timely project information, feedback, and approvals.
Ensure any materials supplied (text, graphics, data) do not infringe third-party rights.
Respond promptly to communication to avoid project delays.

5. Payments

Invoices are due according to the payment schedule outlined in each project agreement.
Late payments may incur interest at 1.5% per month (18% per annum) or the maximum permitted by law.
Work may pause or terminate if payment is not received as agreed.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary or sensitive information disclosed during the project and to use such information solely for fulfilling the agreed project purpose.

7. Warranties & Disclaimers

Kacci Lab provides Services on an “as is” basis. We make no guarantees that deliverables will be error-free or compatible with every environment.
Clients are responsible for testing, security configuration, and ongoing maintenance unless specified otherwise in the project agreement.
We are not liable for loss of profits, data, or business interruption resulting from use or inability to use our Services.

8. Limitation of Liability

To the maximum extent permitted by law, Kacci Lab Inc. and its directors, officers, and employees are not liable for indirect, incidental, or consequential damages. Our total liability for any claim will not exceed the total fees paid to us for the specific project giving rise to the claim.

9. Portfolio & Attribution

We reserve the right to display completed design, development, or visualization work in our portfolio, website, and promotional materials, unless otherwise agreed in writing with the client.

10. Third-Party Tools & Licenses

Some deliverables may integrate third-party tools or assets (e.g., frameworks, APIs, stock imagery). Clients are responsible for complying with applicable license terms of these third-party components unless the agreement specifies otherwise.

11. Termination

Either party may terminate a project agreement with written notice if the other party breaches its obligations and fails to remedy within 10 business days.
Upon termination, the client must pay for all completed work up to the termination date.

12. Privacy

Your use of our website and communications with us are also governed by our Privacy Policy.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

14. Updates to These Terms

We may revise these Terms occasionally. Any updates will be posted on this page with a new “Last Updated” date. Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
